Terms of Service

These Terms govern your access to and use of GatePass services. Please review them carefully.
1. Acceptance
By accessing or using the Services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.
2. Accounts & Eligibility
- You must provide accurate information and keep your account secure. Use a strong password and enable any available security features.
- You are responsible for all activity under your account.
- We may refuse, suspend, or terminate accounts that violate these Terms or applicable law.
3. Organizer Obligations
If you create or manage events on GatePass ("Organizer"), you agree to:
- Provide complete and lawful event information, including accurate pricing, timing, capacity, and venue details.
- Comply with all applicable laws, permits, and venue rules (e.g., safety, licensing, age restrictions, consumer protections).
- Honor tickets sold and handle attendee support, including changes, delays, and cancellations.
- Set and communicate your refund policy clearly; where required by law or our policy, issue refunds promptly.
- Not misuse personal data obtained through GatePass, and only use it for event-related communications.
4. Tickets, Fees & Pricing
- Ticket availability, tier pricing, fees, and taxes are set by the Organizer unless otherwise stated.
- Displayed totals at checkout include applicable fees/taxes where required. Currency and amounts are shown at checkout.
- We may charge service or processing fees; fee schedules can change with notice for future transactions.
5. Orders, Delivery & Refunds
- Orders are confirmed when payment is successfully authorized and a confirmation is displayed/emailed.
- Tickets are delivered electronically (e.g., QR codes). Keep them secure—anyone with a valid code may gain entry.
- Refunds are governed by the Organizer’s policy and applicable law. Processing timelines depend on the payment provider and bank.
- Chargebacks/disputes may result in ticket invalidation and additional verification steps.
6. User Content & Intellectual Property
- You retain rights to content you upload but grant GatePass a non-exclusive, worldwide license to host, display, and distribute it solely to operate the Services.
- You represent that you have the necessary rights to the content you upload and that it does not infringe any third-party rights.
- GatePass trademarks, branding, and underlying software are our property and may not be used without permission.
7. Privacy & Security
We process personal data as described in our Privacy Policy. We use industry-standard measures to protect the Services, but no system is 100% secure. You are responsible for safeguarding your account credentials.
8. Prohibited Activities
- Posting illegal, infringing, misleading, or harmful content.
- Interfering with or attempting to compromise the security or integrity of the Services.
- Reselling tickets in violation of law or Organizer policy; generating fraudulent transactions or scans.
- Scraping, reverse engineering, or using the Services in ways not authorized by these Terms.
9. Payouts & Taxes (Organizers)
- Payouts are subject to verification, settlement schedules, compliance checks, and accurate beneficiary details.
- Organizers are responsible for applicable taxes, reporting, and issuing any required receipts/invoices.
- We may offset amounts owed (e.g., refunds, chargebacks, or fees) against pending payouts.
10. Event Changes & Cancellations
- Organizers must promptly notify attendees of material changes or cancellations and provide remedies per their policy and applicable law.
- GatePass may, but is not obligated to, assist with attendee notifications and refund workflows.
11. Third-Party Services
The Services may integrate payment processors, email providers, analytics, or other tools. Your use of third-party services is subject to their terms and privacy policies.
12. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that events will proceed as scheduled or that the Services will be uninterrupted or error-free.
13. Limitation of Liability
To the maximum extent permitted by law, GatePass and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or use, arising from or related to your use of the Services, even if advised of the possibility of such damages. Our aggregate liability shall not exceed the greater of (a) the fees you paid to GatePass in the 3 months preceding the claim or (b) ₦100,000.
14. Indemnity
You agree to defend, indemnify, and hold harmless GatePass and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your content, events, use of the Services, or violation of these Terms or applicable law.
15. Termination
We may suspend or terminate access to the Services at any time for violation of these Terms, legal/compliance reasons, or risk management. You may stop using the Services at any time. Provisions that by their nature should survive termination will do so (e.g., IP, disclaimers, liability limits).
16. Governing Law & Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law rules. Disputes will be subject to the exclusive jurisdiction of courts located in Lagos, Nigeria.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date. Continued use of the Services after changes indicates acceptance.
